Founding Partner Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between PatientCore OS (registration pending) ("PatientCore", "we", "us", or "our") and the healthcare facility, medical clinic, hospital outpatient department, physician, or authorized clinic representative ("Customer", "You", or "Clinic") accessing our software, web applications, and services.
By registering for, accessing, deploying, or utilizing the PatientCore Primary Care OS, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Notice, and our Data Deletion Instructions.
2. Description of Services & Medical Disclaimer
PatientCore provides an integrated outpatient management platform encompassing scheduling, queue automation, SOAP clinical charting, HMO LOA pre-approval workflows, PhilHealth eClaims compilation, and line-item billing ledger systems.
PatientCore is a clinical documentation, administrative, and workflow enablement platform. PatientCore is not a licensed healthcare provider, medical facility, or diagnostic laboratory. The software does not establish patient-physician relationships, author medical diagnoses, or override clinical judgment. All patient consultations, triage assessments, treatment plans, and drug prescriptions remain the sole legal and professional responsibility of licensed medical practitioners practicing under their valid Professional Regulation Commission (PRC) licenses.
3. Founding Partner Program Terms
For healthcare clinics participating in the PatientCore Founding Partner Program, the following commercial and operational terms apply:
- Tailored Onboarding Timeline: Implementation timelines are customized to facility operational complexity: instant same-day configuration for solo practitioners, 1-week deployment for modular operational wedges (HMO/Queue), and up to 90-day phased transitions for multi-doctor outpatient departments.
- Free Live Pilot Credits: Once a clinic's modular wedge goes live, complimentary closed-encounter credits are included to ensure staff experience real clinic-day value before billing commences.
- Lifetime Founding Discount: Clinics participating in the founding cohort lock in a guaranteed 50% discount on standard closed-encounter pricing tiers post-pilot with zero monthly per-doctor seat fees.
- Collaborative Engineering Reviews: Participating clinics agree to participate in structured bi-weekly feedback working sessions directly with the software engineering team writing the system.
4. Data Ownership & Non-Lock-In Guarantee
PatientCore enforces a strict non-lock-in philosophy for all partner clinics and patients:
- Facility Ownership: You retain complete, unrestricted ownership of your clinic operations, patient rosters, fee matrices, and billing records.
- Patient Data Portability: Patients own their personal health records and may export their charts in international HL7 FHIR standard formats at any time without fees or artificial vendor barriers.
- No Proprietary Hostage: Should you terminate your subscription, PatientCore will provide an automated, complete export of your database records within thirty (30) days in structured, standard formats (CSV, JSON, and HL7 FHIR).
5. Customer Responsibilities & Acceptable Use
As an authorized clinic partner, you agree to:
- Ensure all medical personnel utilizing the software hold active, valid licenses issued by the Professional Regulation Commission (PRC).
- Maintain the confidentiality of administrative credentials, workstation PINs, and API tokens.
- Comply with all statutory data privacy mandates under Republic Act No. 10173 when encoding patient data.
- Refrain from reverse engineering, decompiling, or conducting unauthorized penetration tests against PatientCore infrastructure without prior written authorization.
6. Availability, Maintenance & Offline Continuity
We target 99.9% availability for our cloud infrastructure, excluding scheduled maintenance windows notified at least 48 hours in advance. In the event of internet service provider (ISP) outages or localized telco drops, PatientCore's offline-first architecture allows clinical documentation to continue seamlessly via local browser caches, queuing updates for automatic reconciliation upon reconnection.
7. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising out of or in connection with these Terms shall be resolved through good-faith negotiation, and failing which, submitted to the exclusive jurisdiction of the appropriate courts in Pasig City, Metro Manila, Philippines.
